These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Propslio Limited ("Propslio", "we", "us", or "our") governing your access to and use of the Propslio platform for fractional property investment.

By accessing or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our platform.

IMPORTANT: Property investment involves risks. You may lose some or all of your invested capital. Past performance is not indicative of future results. You should only invest money you can afford to lose.

Propslio operates as a property investment platform facilitating fractional ownership. We are actively seeking regulatory authorization and comply with all applicable UK financial services regulations.

Key Definitions

"Platform" means the Propslio website, mobile applications, and related services.
"Property" means any real estate asset available for fractional investment through the Platform.
"Shares" means fractional ownership interests in a Property represented as digital tokens or securities.
"Investment" means the purchase of Shares in a Property through the Platform.
"Secondary Market" means the Platform feature allowing Users to buy and sell Shares from other Users.
"Rental Income" means distributions from property rental proceeds paid to Shareholders proportionally.

Eligibility and Account Registration

Eligibility Requirements

To use the Platform and make Investments, you must:

  • Be at least 18 years of age
  • Be a UK resident or have the legal right to invest in UK property
  • Have the legal capacity to enter into binding contracts
  • Complete our identity verification process (KYC/AML)
  • Provide accurate and complete information during registration
  • Not be prohibited from investing under any applicable laws or sanctions

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

Prohibited: You may not create multiple accounts, share your account with others, or use another person's account. Violation may result in immediate account termination.

Investment Terms and Conditions

Nature of Investment

  • Fractional Ownership: When you purchase Shares, you acquire a fractional beneficial ownership interest in the underlying Property, not direct legal title.
  • Special Purpose Vehicle (SPV): Each Property is held within a separate legal entity (SPV) in which you hold shares or tokens.
  • Limited Rights: You have economic rights (rental income, capital appreciation) but no direct control over property management decisions.

Investment Process

1. Browse Properties: Review available investment opportunities with detailed property information

2. Make Investment: Commit funds to purchase Shares (minimum investment £100)

3. Funding Period: Properties must reach 100% funding within specified period (typically 30-90 days)

4. Share Allocation: Once fully funded, Shares are allocated to your account

5. Rental Income: Receive proportional rental distributions (typically quarterly)

Cooling-Off Period

In accordance with UK regulations, you have a 14-day cooling-off period from the date of investment during which you may cancel your investment and receive a full refund, provided the Property has not yet been fully funded and the investment finalized.

Investment Risks

Property investment carries significant risks. You must understand and accept these risks before investing:

Capital Risk

Property values can fall. You may lose some or all of your invested capital.

Liquidity Risk

No guarantee you can sell your Shares quickly. Secondary market sales may take time.

Income Risk

Rental income is not guaranteed and may fluctuate based on occupancy and market conditions.

Property Risk

Properties require maintenance, may have void periods, and can suffer damage or deterioration.

Market Risk

Property markets are cyclical and can be affected by economic, political, and social factors.

Platform Risk

Propslio's business may fail or cease operations, impacting your ability to manage investments.

Property investment is illiquid and should be considered a medium to long-term investment (minimum 3-5 years). Your capital is at risk. Investments are not covered by the Financial Services Compensation Scheme (FSCS). You should not invest money you cannot afford to lose.

Fees and Charges

The following fees apply to your use of the Platform. All fees are clearly disclosed before you complete any transaction:

All fees are subject to VAT where applicable. We reserve the right to change fees with 30 days' notice. Property-specific costs (insurance, maintenance, legal) are deducted from rental income.

Secondary Market Terms

The Secondary Market allows you to buy and sell Shares from other Users. The following terms apply:

No Guarantee of Sale

Listing Shares for sale does not guarantee a buyer will be found. Sale times vary based on property, pricing, and market demand.

Pricing Restrictions

You may set your asking price within ±20% of the current property valuation. Propslio reserves the right to reject listings with unreasonable pricing.

Binding Transactions

Once you accept an offer or a buyer purchases at your asking price, the transaction is legally binding and cannot be cancelled.

Verification Required

Both buyers and sellers must complete KYC verification before participating in secondary market transactions.

Prohibited Activities

You must not engage in any of the following activities when using the Platform:

Fraud & Misrepresentation

Providing false information, impersonating others, or engaging in fraudulent activity

Money Laundering

Using the Platform to launder money or finance illegal activities

Market Manipulation

Artificially inflating or deflating Share prices or creating false demand

Unauthorized Access

Hacking, scraping, or circumventing security measures

Automated Systems

Using bots, scripts, or automated tools without authorization

Intellectual Property Theft

Copying, reproducing, or distributing Platform content without permission

Violation of these terms may result in immediate account suspension or termination, forfeiture of investments, and legal action including referral to law enforcement.

Intellectual Property Rights

All content on the Platform, including but not limited to text, graphics, logos, images, software, and data compilations, is the property of Propslio or its licensors and is protected by UK and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for personal investment purposes only. You may not:

  • Reproduce, duplicate, copy, or resell any part of the Platform
  • Modify, adapt, or create derivative works
  • Use the Platform to build a competing service
  • Remove or alter any copyright, trademark, or proprietary notices

"Propslio" and the Propslio logo are registered trademarks of Propslio Limited. Unauthorized use is strictly prohibited.

Limitation of Liability and Disclaimers

Platform "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • Information provided will be accurate, reliable, or complete
  • Defects will be corrected immediately

Investment Performance

IMPORTANT DISCLAIMERS:

  • • Past performance is not indicative of future results
  • • Projected returns are estimates and not guaranteed
  • • Property valuations may be subject to change
  • • Rental income projections are based on assumptions that may not materialize
  • • We make no guarantee regarding investment returns or capital preservation

Limitation of Liability

To the fullest extent permitted by law, Propslio, its directors, employees, and agents shall not be liable for:

Investment Losses: Any loss of capital, income, or profit from your investments

Indirect Damages: Consequential, incidental, or punitive damages

Third-Party Actions: Actions or omissions of property managers, tenants, or other third parties

Platform Issues: Technical failures, data loss, or unauthorized access (unless due to our negligence)

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.

Indemnification

You agree to indemnify, defend, and hold harmless Propslio, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • Your use or misuse of the Platform

Account Termination

Your Right to Terminate

You may close your account at any time by contacting us at [email protected]. If you hold Shares, you must either sell them on the secondary market or request Propslio to facilitate a sale before account closure.

Our Right to Terminate

We may suspend or terminate your account immediately without notice if:

  • You breach these Terms
  • You fail KYC/AML verification or provide false information
  • We suspect fraudulent, illegal, or suspicious activity
  • Required by law or regulatory authority
  • Your account remains inactive for 12 consecutive months

Effect of Termination

Upon termination, your right to access the Platform ceases immediately. However, your ownership of Shares and associated rights/obligations continue until those Shares are sold or the underlying properties are disposed of.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Provide at least 30 days' notice via email to registered users
  • Display a prominent notice on the Platform

Your continued use of the Platform after the changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and close your account (subject to outstanding investments).

We may make immediate changes without notice when required by law, regulation, court order, or to address security vulnerabilities.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any property-specific investment documents, constitute the entire agreement between you and Propslio.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.

Third-Party Rights

These Terms are between you and Propslio only. No third party has any right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.

Regulatory Information

Regulatory Status

Propslio Limited is actively seeking regulatory authorization. We comply with all applicable UK financial services rules on client money, conduct of business, and financial promotions.

FSCS Coverage

Please note: Property investments through Propslio are not covered by the Financial Services Compensation Scheme (FSCS). This means you will not be entitled to compensation if we are unable to meet our obligations.

Client Money

Your funds are held in segregated client accounts with tier 1 UK banks in accordance with UK client money rules, separate from Propslio's own funds.

Tax Treatment: The tax treatment of property investments depends on your individual circumstances and may change. You should seek independent tax advice. We do not provide tax advice.
